The standing terms every guest signs before we record. Nothing here is a surprise later.
Current terms, subject to change. What you sign is what binds.
This Mutual Media Rights & Release (this "Release") is entered into as of the date it is signed between:
Host: Founders Finance Group, producing the podcast/show known as "Founders Finance Podcast" (the show name is a brand of Host and not a separate legal entity) ("Host"); and
Guest: the Guest named on the signed copy ("Guest").
Host and Guest are each a "Party." "Recording" means the audio and/or video recording(s) of Guest's appearance on the show, together with any transcripts, excerpts, clips, stills, thumbnails, show notes, and promotional materials derived from them.
Each Party grants the other a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license, with the right to sublicense to service providers and platforms, to record, reproduce, edit, excerpt (including clips and short-form derivatives), distribute, publicly display, publicly perform, and otherwise use the Recording, in whole or in part, in any media or format now known or later developed, for:
(a) publication of the full episode and derivative clips on any platform (including podcast directories, YouTube, LinkedIn, Facebook, Instagram, TikTok, X, and each Party's websites and newsletters); (b) organic promotional posting; and (c) paid advertising and sponsored placements promoting the Recording, the show, or the posting Party's brand in connection with the appearance.
Host owns the master Recording. Each Party retains ownership of its own underlying contribution and pre-existing materials, subject to the license above. Neither Party owes the other any compensation, and neither Party is obligated to publish the Recording.
Each Party gives its express written consent for the other to use its name, image, voice, likeness, biography, title, and company name and logo, in connection with the Recording and its promotion as licensed in Section 1, including in paid advertising. (Drafted to satisfy consent-based statutes such as Fla. Stat. § 540.08.)
Host may edit the Recording for length, clarity, and quality, and each Party consents to routine AI-assisted production (e.g., transcription, noise removal, clip selection, captioning). Neither Party may use the other's voice or likeness to generate synthetic content — statements, performances, or images the other Party did not actually make — without separate written consent.
Each Party agrees not to publicly disparage the other Party, the show, or the other Party's brand in connection with the appearance. This Section does not restrict truthful statements, statements required by law or legal process, or any legally protected communications, and it does not create any right to demand removal of the Recording.
To the fullest extent permitted by law, each Party releases the other from claims arising out of the authorized use of the Recording under this Release — including claims for invasion of privacy, right of publicity, and defamation based on the accurate presentation of the Party's own statements. This release does not extend to intentional misconduct or uses outside the license granted here.
Guest represents that Guest's statements and any materials Guest provides are Guest's own or used with permission, do not knowingly infringe any third party's rights, and do not disclose information Guest is obligated to keep confidential.
(a) What paid promotion covers. The license in Section 1(c) permits each Party to promote the Recording, the episode, and the show through paid and sponsored placements on any channel, including Meta (Facebook and Instagram), LinkedIn, YouTube, X, TikTok, Spotify, Apple Podcasts, and podcast or display networks.
(b) Endorsement limit. Paid promotion is limited to promoting the Recording, the episode, or the show itself. Neither Party may present the other as endorsing, recommending, or being a customer of its products or services, or use the other's name, likeness, or statements in advertising for its own products or services separate from the appearance, without separate written consent. Excerpting the Recording accurately to promote the episode is permitted; presenting Guest as a testimonial for Host's services is not.
(c) No ad-targeting use of Guest's personal data. Host will not upload, hash, or otherwise provide Guest's email address, phone number, or other contact information to any advertising platform for audience matching, custom or lookalike audience building, or retargeting. This applies to every contact detail Guest provides, including the Show-Notes Contact Info on page 1 and its reuse in the guest directory under Section 8(b). For clarity, nothing in this Section limits Host's publication of the contact information Guest separately authorizes for the episode show notes, which is governed by Sections 1 and 2 and identified in the Show-Notes Contact Info field on page 1.
(d) Disclosures. If a Party uses the Recording in paid advertising or sponsored content, that Party is responsible for its own required disclosures (including under the FTC Endorsement Guides) and for compliance with each platform's advertising policies. Nothing in this Release waives any legally required disclosure.
Host maintains a private network of past show guests only. It is not a general marketing list, and Guest will not be added to any mass mailing by signing this Release. All three items below are included and take effect on signature. Guest may decline or withdraw from any of them at any time, before or after signing, by written notice to Host at ContactUs@ffgcpa.com, with no reason required and no effect on anything else in this Release.
✓ (a) Receive the guest newsletter. Host may send Guest a periodic newsletter distributed only to people who have appeared on the show. Every issue carries a one-click unsubscribe.
✓ (b) Be listed in the guest directory. Host may include Guest's name, title, company, industry, and the Show-Notes Contact Info from page 1 in a directory shared only with other past guests, so that guests can reach one another directly. Guest may substitute different contact details, or be listed with none, by written notice to Host. Host will not sell, rent, or license this directory, and will not provide it to anyone who has not appeared on the show.
✓ (c) Be spotlighted. Host may feature Guest and Guest's company in a newsletter spotlight or a guest-network event. Host will give Guest advance notice before any spotlight runs, and Guest may decline that spotlight or withdraw from future spotlights for any reason, at any time.
There is nothing to fill in or initial in this Section. Declining or withdrawing from any item above has no effect on publication of the episode, which is governed by Sections 1 and 2.
This Release binds and benefits the Parties and their successors and assigns (including any acquirer of Host, the show, or its media library). It is the entire agreement regarding its subject, may be amended only in a writing signed by both Parties, is governed by the laws of the State of Florida without regard to conflicts rules, and may be signed in counterparts, including by electronic signature. No partnership, employment, or agency relationship is created. If any provision is held unenforceable, the remainder stays in effect.
By signing below, each Party agrees to this Mutual Media Rights & Release as of the Effective Date.
Yes. It is signed before we record, so the terms are settled before either of us spends time on the episode.
No. Section 7(b) limits paid promotion to promoting the episode or the show itself. Presenting you as a testimonial for Founders Finance Group is expressly not permitted without separate written consent.
No. Section 7(c) prohibits uploading your email, phone or other contact details to any advertising platform for audience matching, lookalike building or retargeting.
No. Section 3 permits routine production tools such as transcription and captioning, and expressly forbids either of us generating synthetic statements or images from the other's voice or likeness.
Write to ContactUs@ffgcpa.com any time, before or after signing. No reason required, and it has no effect on the episode.
The licence in Section 1 is perpetual, so publication is not conditional on ongoing approval. That runs both ways: your right to clip and post the episode is equally permanent.
